Terms of Service

These Terms of Service ("Terms") govern the provision of software development and related digital services by Sevenova Innovations ("Sevenova Innovations", "we", "us", or "our") to a client ("Client", "you", or "your").

Sevenova Innovations is an independent, founder-led software development and digital solutions business operated as a sole proprietorship.

By engaging Sevenova Innovations for services, you agree to these Terms together with any applicable project proposal, quotation, Statement of Work (SOW), or other written agreement.

1. Services and Project Scope

Sevenova Innovations may provide services including:

  • Custom software development
  • Web applications and websites
  • Mobile and Android applications
  • Business management systems
  • Billing, POS, and inventory systems
  • Church and ministry technology
  • Custom dashboards and database-driven applications
  • Business automation
  • Technical support and maintenance

The specific services, features, deliverables, timeline, fees, and responsibilities for a project will be defined in the applicable project proposal, quotation, SOW, or written agreement.

Any work outside the agreed scope may require a separate quotation, change request, or written agreement.

2. Project Requirements and Client Responsibilities

The Client is responsible for providing information, content, access, approvals, feedback, and other materials reasonably required for the project.

Delays in receiving required information, approvals, content, or access may affect the project timeline.

The Client is responsible for ensuring that any content, data, images, trademarks, documents, or other materials supplied to Sevenova Innovations may legally be used for the project.

3. Project Timelines

Project timelines are estimates based on the agreed scope and assumptions.

Timelines may be affected by:

  • Changes to the project scope
  • Delays in receiving required information or approvals
  • Third-party services
  • Hosting or platform requirements
  • App store review processes
  • Technical dependencies
  • Unforeseen technical issues

A specific completion date will apply only where expressly agreed in writing.

4. Fees and Payment Terms

Project fees and payment schedules will be set out in the applicable project proposal, quotation, SOW, or written agreement.

Where milestone payments are agreed, payment will be due according to the agreed milestone schedule.

If an agreed payment becomes overdue, Sevenova Innovations may pause project work, subject to the applicable project agreement, until the payment issue is resolved.

Any additional work outside the agreed scope may be charged separately.

5. Changes to Project Scope

Requests for additional features, changes to approved requirements, or significant changes to the agreed project scope may affect the project fee and timeline.

Such changes may be documented through a revised quotation, change request, or written agreement.

6. Intellectual Property and Usage Rights

Ownership, intellectual property rights, source code access, design assets, third-party components, licences, and usage rights will be determined by the applicable project agreement and payment terms.

Unless otherwise agreed in writing, third-party software, libraries, platforms, services, fonts, assets, and open-source components remain subject to their respective licences and terms.

Payment for a project does not automatically transfer rights in third-party materials that are not owned by Sevenova Innovations.

7. Third-Party Services and Platforms

A project may depend on third-party services such as hosting providers, cloud platforms, app stores, payment providers, APIs, software libraries, or other external services.

Where a third-party account is created in the Client's name, the Client retains control and ownership of that account, subject to the relevant third-party provider's terms.

Sevenova Innovations is not responsible for third-party service outages, policy changes, pricing changes, account restrictions, or other events outside its reasonable control.

8. Technical Support and Maintenance

Post-launch support, bug fixes, maintenance, updates, and other technical services will be provided only to the extent defined in the applicable project agreement.

Additional maintenance, feature development, security updates, or technical support beyond any agreed support period may be provided under separate terms and fees.

9. Client Data and Confidential Information

Each party should handle the other party's confidential business and project information responsibly.

Where a separate confidentiality agreement or NDA is signed, its terms will govern the confidential information covered by that agreement.

The Client remains responsible for ensuring that any personal or sensitive data supplied for a project is collected and shared lawfully.

10. Limitation of Responsibility

Sevenova Innovations will make reasonable efforts to provide services in accordance with the agreed project scope.

However, no guarantee is made that every software product will be completely free from bugs, interruptions, or compatibility issues.

Sevenova Innovations is not responsible for failures caused by third-party services, unauthorised changes made by others, misuse of a system, inaccurate information supplied by the Client, or circumstances outside its reasonable control.

11. Termination

Either party may terminate a project or service arrangement in accordance with the applicable project agreement.

Upon termination, the Client remains responsible for fees relating to work completed and approved, or otherwise payable under the agreed payment terms.

12. Changes to These Terms

We may update these Terms from time to time. The updated version will be published on this page with a revised "Last Updated" date.
